General Terms and Conditions of Sale – Yiile
1. Preamble
These General Terms and Conditions of Sale (hereinafter the “Terms” or “GTC”) govern the sale of artworks, editions, digital pieces and NFTs offered by Yiile, via the website vanessayiile.com and through private sales, commissions, collaborations or bespoke projects.
Their purpose is to define the rights and obligations of Yiile and any client (individual or professional) in connection with the acquisition of the works offered. Any order placed with Yiile implies full and unconditional acceptance of these Terms.

3. Works and Products Offered
The works offered for sale include, without limitation:

Commissioned or bespoke pieces (tailored works, private commissions, special projects)

Digital artworks and NFTs (non-fungible tokens)
Each work is presented with its essential characteristics: title, medium, dimensions, support, edition information where applicable, price and any specific conditions. Visuals and photographs, while carefully produced, may show slight variations in colour or rendering depending on screens and devices.
4. Prices
Prices are indicated in euros (€), inclusive of all applicable taxes, unless otherwise stated. They do not include shipping, insurance, customs duties, or any potential banking or currency conversion fees, which remain the client’s responsibility.
Yiile reserves the right to modify prices at any time, while applying the price in effect at the time the order is validated by the client. For bespoke pieces and special projects, quotations are indicative until confirmed in writing and, where applicable, upon receipt of a deposit.

The ordering process may include:

Yiile reserves the right to refuse or cancel any order in the event of:

An existing dispute with the client

Clearly abusive behaviour or conduct that conflicts with the brand’s ethics
For bespoke works and specific projects, a detailed quote and schedule will be shared and must be validated in writing before any production begins.
6. Payment Terms
Payments may be made via:

Bank transfer

Credit or debit card (according to the solutions offered on the site)

Secure online payment platforms

Cryptocurrencies or NFT platforms (for digital sales, where specified)
Full payment is required prior to shipping or handover of the work, unless otherwise agreed in writing. Any delay in payment may result in suspension or cancellation of the order.
7. Shipping, Delivery and Insurance
All shipments are handled by the logistics partner Convelio, a specialist in fine art transportation.

Insurance is mandatory for every shipment to protect the work for the entire duration of transport.

Shipping, insurance, customs clearance and any installation or white glove delivery fees are borne exclusively by the client.

Tailored services (white glove delivery, on-site installation, coordination) may be offered upon request and will be subject to separate quotation and invoicing.
Delivery times are indicative and may vary depending on the destination, the nature of the work and the level of service selected. Yiile cannot be held liable for delays attributable to the carrier, customs procedures or force majeure events.
8. Receipt, Damages and Claims
The client is requested to carefully inspect the work upon receipt.

Notify Yiile in writing (by email) within 48 hours, with photographic evidence of the work, packaging and shipping materials
Claims will be processed in coordination with Convelio and the insurer and may lead, as applicable, to restoration, replacement (where possible), or compensation in accordance with the insurance conditions.
9. Withdrawal Right and Returns
Given the unique and artistic nature of the works, and the high level of customisation possible, all sales of original artworks, bespoke works, signed editions, digital works and NFTs are considered final.

No statutory withdrawal right applies to bespoke or customised orders (tailored pieces, private commissions, specific creations).

No returns or exchanges are accepted, except in the case of a major defect or proven damage occurring during transport, duly documented and validated under the claims procedure.
10. Bespoke Works, Special Commissions and Custom Projects
For bespoke creations, large-scale projects, site-specific installations, live performances or collaborations:

A brief, quote and timeline will be established beforehand.

A deposit may be required (non-refundable, except in cases where cancellation is attributable to Yiile).

Any changes requested during the project may result in adjusted deadlines and pricing.
Once production has begun, such creations are non-cancellable and non-refundable.
11. Live Jazz Painting Performances
Yiile offers live artistic performances, including Live Jazz Painting sessions, which may be organised for private, public, corporate or institutional events.
Unless expressly agreed otherwise in a written contract, any artwork created during a performance remains the exclusive property of the artist, both in terms of physical ownership and copyright. Any transfer, donation or sale of the artwork resulting from a performance must be set out in a separate written agreement specifying financial, logistical and legal conditions.
The terms of each performance (duration, format, artist fee, logistics, video/photo recording, potential broadcasting) are defined in advance within a contract between Yiile and the client. Any recording and use of the artist’s image or of the works created during the performance must be authorised in writing by Yiile.
Yiile offers live artistic performances, including Live Jazz Painting sessions, which may be organised for private, public, corporate or institutional events.
Unless expressly agreed otherwise in a written contract, any artwork created during a performance remains the exclusive property of the artist, both in terms of physical ownership and copyright. Any transfer, donation or sale of the artwork resulting from a performance must be set out in a separate written agreement specifying financial, logistical and legal conditions.

12. Collaborations, “Vidiet by Yiile” Projects and Partnerships
Artistic collaborations, brand projects, co-creations, site-specific installations, residencies or special programmes, including those developed under the label “Vidiet by Yiile” are governed by dedicated agreements signed between the parties.
These agreements define in particular:

Allocation of intellectual property and exploitation rights

Conditions for any dissemination, edition, or reproduction
In the event of any discrepancy between these GTC and a specific collaboration or partnership contract, the terms of the signed contract will prevail for all clauses relating to the project in question.
13. Digital Works, NFTs and Online Acquisitions
For digital artworks and NFTs:

Acquisition grants the client a right to possess and display the work for personal enjoyment (e.g. in a digital wallet, virtual environment, or physical display).

It does not transfer copyright, nor any right to reproduce, license or commercially exploit the underlying artwork, unless expressly agreed in a separate written licence or rights transfer agreement.

Each NFT transaction is additionally subject to the terms and conditions of the relevant platform (including, where applicable, Rarible, Binance, or any other marketplace used for the transaction), which apply in conjunction with these GTC. Any NFT acquisition, minting, blockchain transaction, gas fee, platform fee, wallet fee, or any other related cost shall be borne exclusively by the client. Yiile shall not be responsible for such fees, delays, network charges, or any costs arising from the client’s chosen platform or wallet.

Each work acquired from Yiile is accompanied by a Certificate of Authenticity, attesting to its origin, authorship and, where applicable, edition status.

15. Intellectual Property and Copyright
Yiile retains full intellectual property rights over her creations, whether physical, digital or tokenised as NFTs.
Acquisition of a work grants the client a private enjoyment right only. In particular:

Any reproduction, representation, distribution, adaptation, commercial exploitation or promotional use of the works is strictly prohibited without prior written authorisation from Yiile.

Any unauthorised use constitutes an infringement of Yiile’s rights and may give rise to legal action, including the intervention of legal counsel and claims for damages and all remedies available under applicable law.
Clients or partners wishing to acquire or license copyright, image rights or commercial usage rights must submit a formal request to: welcome@vanessayiile.com. Each request will be reviewed on a case-by-case basis and may be subject to specific terms, licensing fees and a dedicated agreement.
16. Personal Data
Personal data collected in the context of orders, performance bookings, collaborations or use of the website (name, address, email, billing details, preferences, order history, etc.) are used for:

Client relationship management and personalised communication

Improving the user experience and customer service, including analysis, statistics and optimisation of offers and content.
Where necessary, data may be shared with trusted third parties (logistics providers, payment solutions, hosting, emailing or analytics tools) strictly involved in delivering the services, and in compliance with applicable regulations (including GDPR).

17. Mediation and Dispute Resolution
In the event of a dispute, the client is invited to contact Yiile first in order to seek an amicable solution.
Where applicable and in accordance with legal provisions, consumer clients may refer the matter to a consumer mediator, whose details will be provided on request or indicated on the website.
18. Governing Law and Jurisdiction
These Terms are governed by French law.
In the absence of an amicable resolution and subject to any mandatory provisions to the contrary (particularly for consumers), any dispute relating to the validity, interpretation or performance of these Terms shall fall within the exclusive jurisdiction of the competent courts of Paris, France.
